1) Introduction & Acceptance

1.1 Who we are & scope. These Terms & Conditions (“Terms”) govern your access to and use of Clinical Data Management Prep (the “Service”), operated by PrepForge LLC, a North Carolina entity with a mailing address at 1601 Carrington Park Cir, Apt 304, Morrisville, NC 27560, USA (“Company,” “we,” “us,” or “our”). These Terms cover our websites, applications, content, features, and related services.

1.2 Binding agreement. By accessing or using the Service, creating an account, or clicking “I agree,” you accept these Terms. If you do not agree, do not use the Service.

1.3 Effective date & updates. Effective Date: October 5, 2025. We may update these Terms. For material changes, we will post the revised Terms with an updated “Last Updated” date and, where appropriate, notify you by email or in‑app. Continued use after the effective date constitutes acceptance.

1.4 Related policies (incorporated by reference). Your use is also subject to our Privacy Policy (/privacy), Cookie Notice (/cookies), and any feature‑ or plan‑specific terms we present (“Additional Terms”), each incorporated by reference. If Additional Terms conflict with these Terms, the Additional Terms control for that feature.

1.5 Eligibility summary. See Section 4 (Eligibility & Accounts). Plan‑specific terms appear in Section 5.

1.6 Language & electronic communications. If these Terms are translated, the English version controls if translations differ. You consent to receive communications electronically (Section 19), and agree that electronic acceptance has the same effect as a signed writing.

1.7 Conspicuous terms. Some sections (e.g., Disclaimers and Limitation of Liability) appear in ALL CAPS to provide conspicuous notice.


2) Independence, Certification References & Exam‑Content Policy

2.1 Independence from certification bodies. Clinical Data Management Prep is an independent educational resource for Clinical Data Management learning and practice. We are not affiliated with, endorsed by, or sponsored by any certification body, exam provider, or professional association.

2.2 Descriptive references only. Any references to third‑party certifications or exams are descriptive of the knowledge areas our materials may help you practice and do not imply endorsement, sponsorship, partnership, approval, or any relationship.

2.3 No official exam content; exam‑content firewall. We do not provide, access, reproduce, solicit, or accept official, proprietary, or confidential exam questions, answers, or content from any provider. Users must not upload, disclose, request, or share such materials (including content obtained in breach of candidate agreements or law). We may remove such content and suspend/terminate accounts.

2.4 Independently developed; similarity is coincidental. All chapters, practice questions, explanations, and audio on the Service are original and independently developed. Because we teach widely recognized Clinical Data Management concepts, any resemblance to actual exam questions or formats is unintentional and purely coincidental.

2.5 No endorsement statements or logo use. You may not state or imply that Clinical Data Management Prep is certified, approved, or endorsed by any third party, nor use third‑party logos, seals, or proprietary branding.

2.6 Reporting concerns. Report suspected trademark or copyright misuse to support@clinicaldatamanagementprep.com. We review reasonable requests and may remove or modify content consistent with law and our policies.

2.7 Trademark note (descriptive use). CCDM® is a registered certification mark of the Society for Clinical Data Management. If “CCDM®” appears on the Service, it is used solely to identify the exam for descriptive purposes and does not imply affiliation or endorsement.


3) Definitions

“Additional Terms”: feature‑ or plan‑specific terms presented to you; “Account”: your registered profile; “Content”: our questions, explanations, audio, UI, code, and design; “User Content”: content you submit (e.g., support messages, testimonials); “Renewal Date”: the calendar day your paid term renews (or nearest practical day).


4) Eligibility & Accounts

4.1 Age & residency. The Service is intended for adults. You must be 18 years or older (or the age of majority in your jurisdiction, if higher). The Service is not for children under 13.

4.2 Registration & accuracy. Provide accurate, current, and complete information and keep it updated.

4.3 Account security. Keep credentials confidential; you are responsible for all activity under your Account. Notify support@clinicaldatamanagementprep.com of unauthorized access.

4.4 One person, one account. No account sharing, sublicensing, or resale of access.

4.5 Account closure. You may delete your Account via Account → Delete or by contacting support@clinicaldatamanagementprep.com. Data handling and deletion are described in the Privacy Policy.


5) Plans, Billing, Auto‑Renewal & Cancellation

5.1 Plans.

  • Day Pass — One‑time purchase; 24‑hour access from purchase; does not auto‑renew.
  • Pro Monthly — Recurring subscription; auto‑renews monthly until canceled.
  • Pro 6‑Month — Recurring subscription; auto‑renews every 6 months until canceled.

5.2 Pricing & taxes. Prices are shown at checkout and may include or be subject to applicable taxes and fees.

5.3 Payment authorization. For auto‑renewing plans, you authorize recurring charges to your payment method until you cancel.

5.4 Renewal cycles & notices. Renewal occurs on the same calendar day each period (or closest feasible day). For Pro Monthly and Pro 6‑Month, we email a pre‑renewal reminder about 7 days before the Renewal Date (or earlier where required by law).

5.5 Cancellation (easy & online). Cancel anytime via Account → Billing → Cancel Auto‑Renew (or contact support@clinicaldatamanagementprep.com). If you signed up online, you can cancel online. Cancellation stops future renewals; access continues through your current paid term. We’ll email a confirmation immediately.

5.6 Refunds & credits; statutory rights. 7‑day money‑back guarantee: if you're not satisfied with a Pro Monthly or Pro 6‑Month subscription, email support@clinicaldatamanagementprep.com within 7 days of the subscription purchase for a full refund. Otherwise, all fees are non‑refundable to the fullest extent permitted by law. We do not prorate or refund partial terms or Day Passes. At our discretion, we may issue non‑cash service credits for duplicate charges or documented extended outages. EU/UK consumers: you may have a 14‑day withdrawal right for new online purchases; if you request or begin immediate access to digital content before the 14 days end, you consent to immediate performance and acknowledge losing that withdrawal right once performance starts. Your statutory rights are unaffected.

5.7 Chargebacks & disputes. Contact support@clinicaldatamanagementprep.com first to resolve billing issues. We may suspend access during chargeback investigations and contest improper chargebacks.

5.8 Plan or price changes. Changes apply prospectively with notice. If you do not agree, cancel before the change takes effect.

5.9 Promotions/trials (if offered). Promotions and trials may convert to paid plans if not canceled before the end of the promotional period; eligibility and terms will be disclosed at sign‑up.


6) Licensed Use & Feature‑Specific Notes

6.1 License grant. We grant you a personal, limited, non‑exclusive, non‑transferable license to use the Service for individual study under these Terms.

6.2 Restrictions. You may not copy, publish, distribute, frame, scrape, or reverse engineer the Service or create derivative works without our written permission; do not remove or circumvent access controls or digital rights management; you may not use the Service or Content (including outputs) to train, fine‑tune, or improve any AI/ML models without our prior written consent.

6.3 Limited downloads & watermarks. Where download/print is enabled, it is for personal, non‑commercial use only. We may use watermarks or other measures to detect unauthorized redistribution.

6.4 Flagging & explanations. Flagging stores items for your review; it does not reveal answers mid‑session. Explanations are available for completed sessions per your plan.

6.5 Practice “Master Exams.” Practice/simulated full‑length exams mimic timing/length for training. They are not official.

6.6 Audio “Deep Dive.” Audio is derived from our written content (AI‑assisted, editor‑reviewed) to aid learning; availability may depend on your plan. AI‑assisted content may contain inaccuracies—use judgment and verify with authoritative sources.

6.7 Availability; beta features. Features may change; beta features are provided “as is”; downtime may occur. We provide no service‑level commitments unless expressly stated.


7) Acceptable Use & Prohibited Conduct

7.1 Security & integrity. Do not introduce malware; attempt DDoS; probe or bypass security; or access the Service or Content by automated means without written consent.

7.2 Academic integrity. Do not cheat, harvest answers, use bots, or create multiple accounts to circumvent limits.

7.3 Third‑party exam & confidential content. Do not post, upload, share, or request official exam questions, answers, or content obtained in breach of candidate agreements or law.

7.4 Unauthorized commercial use. No reselling access or using our Content to build or train any AI/ML models or competing services without written permission.

7.5 Automated access & rate limits. No scraping, crawling, or automated access without written consent; respect rate limits.

7.6 Enforcement. We may warn, remove content, limit features, suspend, or terminate accounts for violations.

7.7 Security vulnerability reporting. Please report suspected vulnerabilities to support@clinicaldatamanagementprep.com with “Security” in the subject. Do not exploit, exfiltrate data, or disrupt the Service.


8) Content & Intellectual Property

8.1 Our content ownership. Except for User Content, the Service (questions, explanations, chapters, audio, code, design, UI) is owned by PrepForge LLC or its licensors and protected by IP laws.

8.2 Personal license only. We license Content to you for individual study; no redistribution without written permission; no public display or classroom delivery without written permission.

8.3 Feedback license. If you submit feedback or suggestions, you grant us a worldwide, perpetual, irrevocable, royalty‑free license to use them without obligation.

8.4 Third‑party marks. Third‑party names/marks remain their owners’ property. References are descriptive only and do not imply endorsement.

8.5 Reservation of rights. All rights not expressly granted are reserved.

8.6 Open‑source components. Some components may be provided under open‑source licenses. Those licenses govern your use of those components to the extent of any conflict.


9) User Content (Support Messages; Future Testimonials)

9.1 What you may submit. Support messages to our team; in the future, optional testimonials/reviews.

9.2 License for testimonials (with consent). If you submit a testimonial for publication, you grant us a non‑exclusive, worldwide, royalty‑free license to use, reproduce, and display it (with your chosen display name), subject to your explicit consent and our moderation.

9.3 Content standards. User Content must be lawful, truthful, and non‑infringing; no deceptive or compensated reviews without clear disclosure; no confidential exam info.

9.4 Moderation & removal. We may edit, refuse, or remove User Content; repeat‑offender accounts may be terminated.

9.5 Privacy of support exchanges. Support messages are private between you and our team and handled per the Privacy Policy.


10) Privacy & Data Use (Summary)

10.1 Privacy Policy. See /privacy for how we collect, use, share, retain, and delete data.

10.2 What we collect. Account information; quiz interactions; flags; timing and analytics; device and usage data.

10.3 Why we use it. To provide features like progress dashboards, personalization, reliability, fraud prevention, and support. We do not sell personal data or share it for cross‑context behavioral advertising.

10.4 Security measures. We apply reasonable safeguards but cannot guarantee absolute security.

10.5 Retention & deletion. We retain data as described in the Privacy Policy; you may request deletion as provided there.

10.6 Children. The Service is not directed to children under 13 and is for users 18+.

10.7 Cross‑border transfers. Where applicable, we rely on lawful transfer mechanisms for cross‑border data flows as described in the Privacy Policy. Your statutory rights (e.g., EEA/UK data subject rights) remain unaffected.


11.1 Payments. Transactions are processed by third‑party payment processors (e.g., Stripe); their terms and privacy policies apply.

11.2 Hosting/auth & infrastructure. We may use third‑party providers to operate the Service; they process data under our instructions. Third‑party services may change or experience outages; we are not responsible for their acts, omissions, or unavailability.

11.3 External links. We do not control third‑party sites or resources; access them at your own risk.


12.1 Takedown notices. If you believe content infringes your copyright, send a notice including (a) your signature, (b) identification of the work, (c) the URL of allegedly infringing material, (d) your contact info, (e) a good‑faith statement, and (f) a statement under penalty of perjury that you are authorized to act, to our DMCA Designated Agent:

12.2 Counter‑notices. If your content was removed by mistake or misidentification, you may submit a counter‑notice with the required elements; we may restore content in accordance with the DMCA.

12.3 Repeat infringers. We may terminate accounts of repeat infringers.


13) Educational Disclaimers & No Guarantees

13.1 Educational use only. The Service provides educational study resources and is not professional advice.

13.2 No outcome guarantees. We do not guarantee you will pass any exam, achieve a particular score, or obtain employment.

13.3 No official exam content; overlap is coincidental. We do not provide official exam content; any overlap with actual exam items is coincidental given coverage of common industry topics. Exam blueprints and policies may change without notice—refer to official sources. Explanations reflect our educational perspective and are not official guidance from any regulator or certifying body.

13.4 Availability & accuracy. Content may contain errors or lag updates; the Service may be unavailable at times.


14) Warranties & Disclaimers; Limitation of Liability

14.1 “AS IS / AS AVAILABLE.” THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

14.2 No guarantee of uninterrupted service. We do not warrant the Service will be uninterrupted, error‑free, or free of harmful components.

14.3 Limitation of liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREPFORGE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

14.4 Some rights may vary. Some jurisdictions do not allow certain disclaimers or limits; in such cases, we apply the maximum extent permitted by law. Nothing here limits your right to seek relief in small claims court where allowed.


15) Indemnification

You agree to defend, indemnify, and hold harmless PrepForge LLC and its affiliates, officers, employees, and agents from claims, damages, liabilities, costs, and fees (including reasonable attorneys’ fees) arising from (i) your use of the Service, (ii) your User Content, (iii) your violation of these Terms or law, or (iv) your infringement of third‑party rights.


16) Suspension & Termination

16.1 Our rights. We may suspend or terminate your access (with or without notice) for violations, non‑payment, fraud risk, or to protect the Service.

16.2 Your rights. You may terminate at any time via Account → Delete or by contacting support@clinicaldatamanagementprep.com.

16.3 Effects; survival. Upon termination, your right to access the Service ends and we may delete or restrict access to your data per the Privacy Policy (backups may persist for a limited time). Sections that reasonably should survive (e.g., IP, disclaimers, liability limits, indemnity, dispute resolution) survive.


17) Governing Law & Dispute Resolution

17.1 Governing law & venue. These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflicts of law. The exclusive venue for non‑arbitrable disputes is the state or federal courts located in Wake County, North Carolina.

17.2 Informal resolution first. Before filing a claim, you and we agree to try to resolve it informally for 60 days by emailing support@clinicaldatamanagementprep.com (subject: “Dispute”). If unresolved after 60 days, Section 17.3 applies.

17.3 (Optional) Binding arbitration & class‑action waiver. Except for claims eligible for small claims court and requests for injunctive relief for IP/security, you and we agree to resolve disputes by binding individual arbitration, administered by AAA (Consumer Rules) or JAMS (Consumer Rules), at your election. Arbitration will be conducted in Wake County, North Carolina or remotely at the arbitrator’s discretion. No class actions or representative proceedings. Opt‑out: You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@clinicaldatamanagementprep.com (subject: “Arbitration Opt‑Out”). If you opt out, Section 17.1 venue applies. Each party pays its own fees/attorneys’ fees, except the arbitrator may award fees as allowed by applicable law or the chosen rules.

17.4 Injunctive relief. We may seek injunctive or equitable relief to protect IP and Service security.


18) Changes to Service & Terms

We may add, change, or remove features. We may update these Terms; material changes will be posted with a new “Last Updated” date and, where appropriate, additional notice. For material changes affecting fees, renewals, or cancellation, we will provide advance notice before they take effect. Continued use signifies acceptance.


19) Notices & Communications

19.1 Electronic communications. You consent to receive emails and in‑app notices regarding the Service and these Terms.

19.2 How we contact you. We may contact you at the email associated with your Account. You can opt out of non‑transactional marketing emails via the unsubscribe link; essential service emails will continue.

19.4 Notice mechanics. Notices are deemed given when sent to your Account email or when posted in the Service. If you change your email, update it in Account to keep receiving notices.


20) Miscellaneous

20.1 Entire agreement. These Terms (and incorporated policies) are the entire agreement between you and us regarding the Service.

20.2 Assignment. We may assign these Terms; you may not assign without our written consent.

20.3 Severability. If any provision is unenforceable, the remainder remains in effect.

20.4 No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.

20.5 Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.

20.6 Headings. Headings are for convenience only and do not affect interpretation.

20.7 Export & sanctions compliance. You represent you are not located in, or a resident of, any country embargoed by the U.S., and are not on any denied‑party list. You will comply with applicable export control and sanctions laws.

20.8 No third‑party beneficiaries. These Terms create no third‑party beneficiary rights.

20.9 Prevailing language. If these Terms are translated, the English version controls in case of conflict.

20.10 Independent contractors; no agency. You and we are independent contractors. These Terms do not create a partnership, agency, fiduciary, or employment relationship.
